the SA FANATICS is the official nickname.
THE FAN CLUB means MUFC SA FANATICS.
The BOARD means THE BOARD OF DIRECTORS.
MANCO means management committee of The Fan Club.
THE MUFC SA FANATICS CLUB means the official recognized supporter’s organization of The
Fan Club. The said FANATICS’ CLUB will consist of a number of BRANCHES and REGIONS, which are formed in various described areas, with minimum membership of 20 persons.
COUNCIL means the governing and administrative body of each Region or Branch.
ORDINARY MEMBER means a member who has rights, privileges and obligations towards their
Branch/Region and towards the Fanatics’ Club.
PRO means Public Relations Officer of The Fan Club.
The emblem of the Fanatics Club shall be approved by Mancherster United and will be either the badge of Manchester United or a derivative thereof as determined from time to time by Manchester United. The colours of the FANATICS’s Club shall be official colours of Manchester United, namely Red, White and Black.
To attain and maintain official Supporters club status with Manchester United
To support all/any activities that The Fan Club may stage from time to time.
To co-operate fully and be supportive of The Fan Club and to abide by The Fan Club’s rules, regulations as set by The Fan Club and by laws as determined from time to time.
To abide by the rules and regulations contained in the Supporter’s Club Constitution.
To protect the interest of The Fan Club to take all steps as may be necessary or advisable for the promotion of The Fan Club and soccer in general, for the prevention of the infringement of the stipulated rules and laws.
To have meetings at regular intervals which are held by The Fan Club, the Region or a Branch, to communicate items of interest and policy. To have a structure, at Branch and Regional level.
The Fan Club will, from time to time provide expertise to assist the Branches and Regions in hosting fund raising events.
All funds raised in the name of the Supporter’s Club are to be used exclusively for the wellbeing of the Ordinary Member and be related to furthering the promotion and support of The Fan Club.
The Board shall further keep and retain control of all banking accounts and cause all Branches and Regions to keep proper books of account on behalf of the Supporter’s Club.
The Board will consist of the founding executives and will be up for election every 3 years.
All members of the Board and Management committee will be eligible to vote for position on the board.
The President and Chairman of the Fanatics Club shall be the Head of the Fanatics Club and retains overall accountability for all the affairs of the Fanatics Club.
The MANCO shall be the controlling body of all the Branches/Regions of Fanatics’ Club.
The Head Office of MANCO shall be situated in Johannesburg South Africa. The Fan Club through its MANCO shall be the supreme governing body of the Fanatics Club; always provided that in the event where The Fan Club disagree with any decision taken by the Branch, Region or both, MANCO will hold the overriding right to veto the action.
Functions and Powers:
MANCO shall have control and general command of the affairs of the Fanatics Club.
In all matters affecting the Fanatics Club, The Fan Club’s decision shall be final and no appeal shall be entertained.
The Fan Club shall be the sole interpreter of the Constitution of the Supporter’s Club.
MANCO shall give decisions to any matters or dispute arising between two or more branches or/and Region of the Supporter’s Club and the decision so given shall be final unless and until set aside by The Fan Club.
The MANCO shall be structured as below:
The President and Chairman of The Fan Club.
The Secretary General.
The Deputy Secretary General
The Head of Treasury.
The Head of Administration and Memberships.
Eight (8) Executive Committee Members.
The President shall be responsible of ICT.
The Secretary General’s Office shall incorporate Marketing and Promotions.
The Head Treasury of the Fanatics Club shall be responsible for all things financial on behalf of The Fan Club
The Administration Department shall incorporate Development, Procurement and Memberships.
The management committee shall retain the overall control and powers of the Fanatics Club, however
reporting to the Board of Directors. The roles of the Management Committee are as defined:
Shall be responsible for calling for The Fan Club’s Annual General Meeting, The Congress, the Management Committee’s monthly seating and any other Special meetings at the request and approval of any Branch or Region.
ICT and Public Relations.
Shall be responsible for the selection and appointment of the Public Relations Officer (PRO).
Ensure that the Board and Management Committee are properly informed and that sufficient information is provided to enable the MANCO and Board to form appropriate judgements.
Review and sign meeting minutes.
Oversee the selection and appointment of an Independent Election Commission, Head of elections and the observer team.
The Secretary General of the Fanatics Club shall be the Marketing and Promotions
Recommend an annual schedule of dates, times and locations of Management Committee and Board meetings.
Raising the profile of The Fan Club to attract investment opportunities for the development programmes set put by The Fan Club.
Oversee the minuting of all meetings convened by The Fan Club.
Develop and produce the Annual Calendar of events for The Fan Club.
The Deputy Secretary General of the Fanatics Club shall be assisting the Secretary General with Marketing and Promotions
Recommend an annual schedule of dates, times and locations of Management Committee and Board meetings.
Raising the profile of The Fan Club to attract investment opportunities for the development programmes set put by The Fan Club.
Oversee the minuting of all meetings convened by The Fan Club.
Develop and produce the Annual Calendar of events for The Fan Club.
Manage the relationships of partners and continuously look for opportunities to grow the fanatics club
The Head Treasury of the Fanatics Club shall be responsible for all things financial on behalf of The Fan Club.
Shall be entrusted with administering all financial transactions for The Fan Club.
Ensure adequate liquidity for working capital needs and short-term investment of excess liquidity.
Manage inter-branch or region cash, including inter-branch or region lending and capital injections.
Produce the Annual books of accounts for the board of directors and Management Committee.
The Head Treasury shall reserve the power to recommend disciplinary action to the Management Committee against any Region, Branch or Individual that may be deemed as having defaulted on their financial obligation.
Develop and ensure compliance with internal controls, policies and procedures.
The Head Administration and Memberships of the Fanatics Club shall be responsible for all the administrative duties and responsibilities of The Fan Club.
Support the operations of staff.
Management and administration of all The Fan Club’s social media and mainstream communication platforms, until such a time a PRO is announced.
Develop, Plan, Organize and implement administrative systems and procedures.
Maintain administrative staff by recruiting, training and appointing staff to maintain memberships and security.
Retain overall control of all internal administrative systems, ensuring all processes are adhered to.
Maintain overall responsibility of all the arms of the Fanatics Club, namely the Soccer team that maybe formulated, The Rotary and any other arms that may be formulated by the Fanatics Club from time to time.
As part of The MUFC Fanatics Africa strategy, The Fan Club is looking to establish its presents in other countries other than South Africa.
An African Region shall be formed by at least three branches situated within Africa; its launch shall be conducted by a member of Manco or any Club official so mandated by Manco. This may include a appointed senior member of another Region.
MUFC Fanatics shall have 3 (three) distinct regions, namely
Johannesburg
Lusaka (Zambia)
Gaborone (Botswana)
The named regions shall consist of branches as defined in particular areas within the particular region.
The Fanatics Club shall consist of branches, which shall be established regionally.
Each branch shall consist of not less than 20 registered and paid-up members.
All existing branches shall continue to operate and ensure that at no time will its current members be less than 20 persons.
All Fanatics of The Fan Club and members of the Supporter’s Club shall be entitled to join and belong to any Regional Branch of their choice.
A member may not be registered at more than one branch at any specific time.
New branches may be established by 20 Fanatics, via application to The Fan Club for registration of the Branch.
Membership fees shall be paid monthly in advance and shall be payable on such dates stipulated by The Fan Club.
The Branch and Regional Councils shall have 3 (three) members comprising of:
Chairperson;
Secretary General
Head of Treasury, Administration & Membership
The above positions shall be voted for at the Annual General Meeting.
Branch Council: by the Ordinary Members of the Branch
Regional Council: by Branches of the Region.
Any member of a council shall cease to be a member thereof if that person, without apology or good cause shown, absents themselves from three consecutive meetings of that body.
Such member shall be informed in writing about their disqualification by the Fanatics Club.
Such members shall have the rights to appeal as set out in clause 25 (ii).
Two options for membership exist (see brochure dated September 2021)
Membership can only be registered directly with The Fan Club, or
They may register through the treasury of the particular Branch.
For payment via the Treasury of a Branch, the following procedure will apply:
The prospective member will fill in a membership application form at the Branch that he or she wants to join.
The member will then pay over the applicable membership fee into the MUFC Fanatics bank account, provide proof of payment and the Treasurer shall issue the prospective member with the receipt.
The Branch Chairman will then bring the application forms together with the proof of payment to The Fan Club, receive the prospective Member’s Memberships packages on his/her behalf, then contact the prospective member and deliver his/her membership package, including official Membership Card. The prospective member may communicate with the Fanatics office only in the case of having no branch in the Area.
Every person shall upon receipt of the Membership Card be deemed to be a member of the MUFC Fanatics.
Prior to expiry the member must renew his membership directly with The Fan Club through the member’s respective branch office.
MANCO members shall with effect from 01 September 2021 pay a monthly subscription of $xxx to the Treasury.
Failure by any MANCO member to submit their subscription in three successive months shall result in disciplinary action being taken against such member.
Every Branch of the Fanatics Club shall, through its Council, keep a full update of all its Members at all times.
The register shall contain the full names,and telephone contact details of every member who subscribe to its Branch. This register shall form part of The Fan Club database, and each branch is mandated to keep its register up to date at all times.
Any letter or notice delivered to such an address shall for the purpose of the Fanatics Club, be deemed to be sufficient, effective and proper service on such a Member.
A member who changes his residential address or contact details shall give notice of such change within (14) fourteen days to the Secretary of his Branch from the date of change. If the Member is not assigned to a Branch the member shall inform The Secretary of his/her Region or the offices of the MANCO of such a change.
No member shall have any individual rights, title and/or interest or claim to any money, assets or any property of the Fanatics Club save as provided for in this Constitution.
Members shall be given notice of any Annual General Meeting and Special Meetings.
At all times, including but not limited to disputes arising, ultimate decision-making body of the Fanatics club, shall be MUFC Fanatics.
No meeting shall be valid and be of any force or effect unless and save if authorized by the Chairman and/or the Secretary.
Members shall attend all meetings convened by their Branch/Region.
Every member shall observe the standing Order governing meetings of the Fanatics Club.
A meeting of Branch/Region shall only be declared valid if a quorum of 51% of the registered members is present. For this purpose, Branches/Regions are required to keep minutes that clearly reflect the names of the Members who are present and absent from the meeting.
Every Branch and Region shall be directly responsible for the conduct of all its members at all the activities of The Fan Club.
Should the Branch or Region fail to control their members this shall constitute an offence and shall be punishable by:
A reprimand by the MANCO
The guilty party/parties can be banned from events and matches hosted by The Fan Club, and/or
A fine payable to the MANCO not exceeding the sum of Rxxxxxxx
Misconduct shall mean violence, fighting, swearing, abusive language, dishonesty and breach of the rules and regulations of The Fan Club House, Premises and/or the Fanatics Club and/or The Fan Club.
Any member, branch or region guilty of misconduct as aforementioned shall be punished by the MANCO in either the following ways:
Expulsion from the Fanatics Club.
Suspension from the Fanatics Club for a period not exceeding 6 (SIX)months
A fine not exceeding R1 000.00 payable to the branch or Region.
A written reprimand by the MANCO depending on severity of the misconduct.
Severity of the misconduct will be review and determined by the Board
Failure by any MANCO member to contribute their monthly subscription shall attract any of the below reprimands:
Suspension from the MANCO for a period not exceeding 6 (SIX) months
A written reprimand by the MANCO
A fine not exceeding R 500.00 payable to the Treasurer.
Expulsion from the Fanatics Club.
Every Branch/Region shall consist of a Council and Members.
The Council shall be elected at the Annual General Meeting of the Branch or Region and shall consist of 3 (three) elected members of the Branch or Region.
The Council shall be the governing body of the Branch or Region.
The Council shall keep a record of:
Its membership
The proceedings of each meeting
The financial affairs of the Branch/Region
The Branch or Regional Council shall be required to keep proper books of the account. TheBranch or Region shall not be entitled to enter into any contract
The Branch or Regional Council shall ensure that the MANCO is advised as to the names and address of ordinary members and shall attend to the transfer of the respective membership fees as set out above. Each Council shall convene a meeting of the Members at least once every three months.
Each Region shall submit to the Management Committee’s Head of Treasury, its yearly detailed budgets, encompassing all branches in the particular region.
All finances shall be centrally managed and administered at Management Committee level and all Regions on behalf of their branches shall apply for funding through the Head of Treasury.
Branch and Regional disbursements shall be centrally managed from the Head Treasury.
No remuneration shall be payable by The Fan Club to any person, including but not limited to; any persons connected to the Fanatics Club, a Branch, a Region or a Council of the Branch or Region. A Branch or Region may recommend its remuneration policy to the Head Treasury for approval, always provided that the Ordinary Member shall not be expected to contribute towards such remuneration.
All legal documents (including all cheques and other negotiable instruments) which are required to be executed on behalf of a Branch/Region of the Fanatics Club shall be signed by below mentioned three of the respective body:
The Chairperson
The Secretary General
The Head of Treasury
In the event that any one of the signatories is absent at any given time, any two signatories are deemed valid.
Notice of the Branch/Regions to members shall be served in any two of the following media:
By letters written to members;
By advertisements published in newspapers;
By radio broadcast;
By television broadcast;
By notice on official website of The Fan Club
All noticed shall be deemed to be served if conveyed through any two of the above media and any accidental omission to give the requisite notice that shall not invalidate the proceedings of the meeting, always provide that necessary quorum has been obtained.
The PRO of The Fan Club shall be responsible for all press statements including those that involve the policy of the Fanatics Club. No other person shall make any press statement in the name of The Fan Club or the Fanatics. Unless otherwise mandated in writing by MANCO.
No alteration or addition shall be made to this Constitution unless otherwise a proposal is forwarded to MANCO for consideration, if approved the clause will be altered or added by The Fan Club.
The Constitution is binding as at 01 September 2021.
Each Branch/Region shall hold an Annual Meeting at least once in every 12 month period and shall in any event be held before 30 September in each year.
All paid up Members of the Branch/Branches of the Area shall be entitled to attend Annual General Meeting and each shall be entitled to vote for the election of office bearers of the Brach and Regional Council.
All paid up Members of the Branch or Branches of the Area shall be entitled to receive 21 days’ notice of the Annual General Meeting, which notice must be advertised on The Fan Clubs website and internal communication platforms through Regional and Branch structures.
A quorum at such Annual Meeting shall be 51% of the members. Should a quorum not be present the meeting shall be postponed for one week, at the reconvened meeting such persons as may be present.
Shall ipso facto constitute a quorum and the meeting shall then proceed to perform the business of the Annual General Meeting as if a quorum were present.
The business of the Annual General Meeting shall be the representation of the Chairman’s report and the Treasury report, the election of the officers and such other business as may appear on the meeting agenda. Any Member requiring a special resolution to be placed upon the agenda shall forward a copy of such resolution accompanied by the signatures of at least fifteen Branch Members/Three Branches of the Area thereof to the Branch’s Secretary, not less than 30 (THIRTY) days before the Annual General, and the Secretary upon receipt of such resolution shall ensure that it is placed upon the agenda.
The election of officers shall be by way of ballot and the Chairman of the meeting shall ensure that a private ballot shall be necessary. No person shall be elected to office unless proposed and seconded at the Annual General Meeting.
Proxy votes shall not be allowed.
Election to the management committee shall be done by the Branch and Regional councils through a Private ballot.
Candidates to stand for the election into the Management Committee shall be required to meet the minimum requirements as stipulated:
Official member status with Manchester United Limited (UK).
Fully subscribed with the Fanatics Club.
Shall have held public office within The Fan Club structures for a minimum 1 year prior to standing for election.
With reference to clause 5 (i) an independent election commission, the head of elections and observer team shall be set up to administer the election.
The Branch/Region’s secretary shall give 21 days’ written notice to every Member, if requested to do so by at least 75% of the Members, in writing.
When requesting such meeting the Members so requesting shall hand to the Branch or Region secretary a copy of the Special Resolution or Resolutions to be proposed at such meeting and the secretary shall forward a copy of such Resolution to each Member together with the notice of the meeting.
A quorum for a Special General Meeting shall be 75% of the Members, and the procedure laid down in Clause (21.iii) hereof shall be adopted in the event of no quorum being present.
No special resolution shall be passed unless at least 75% of the persons present at such meeting shall support the resolution.
No matter shall be discussed or voted upon at a special meeting unless it appears on the agenda.
Co-ordinate and oversee the well-being and progress of branches within the area.
Establish and launch branches.
Represent The Fan Club in all events and activities taking place in the area.
Drive the recruitment campaign.
The Fan Club through its Management Committee shall be the supreme disciplinary body. The Fan Club through its Management Committee shall each form a disciplinary committee consisting of not less than three members of the body and then said disciplinary committee shall meet on an ad hoc basis as when a meeting is necessary.
Any member who wishes to appeal a disciplinary ruling against him or her by Management Committee’s Disciplinary Committee shall within 7 days of such ruling being given, note an appeal to the Secretary of the Branch, Region and the offices of the Management Committee.
A Branch shall be entitled to appeal against any disciplinary ruling given against them by the Management Committee by noting an appeal with the offices of the Management Committee and the Secretary General of The Fan Club within 7 days of such ruling being given.
Any Branch or Region desiring to give any disciplinary proceedings against any Member of another Branch or Region or of any other Branch/Region shall notify the offices of theManagement Committee in writing specifying the nature of the complaint and requesting thedisciplinary to be instituted and shall be given permission to do so.
A member or a Branch or Region shall be notified of a complaint against him or her by the Branch or Region with at least 7 days’ notice of the date of such hearing.
In the event of the Member, Branch or Region failing to attend the disciplinary committee hearing then that Member, Branch or Region shall automatically lose its right of membership to the Supporter’s Club. The council of that Branch or Region shall be dissolved.
The various bodies shall be entitled to apply the penalties as set out above.
